1. Scope
These terms apply to COMS services unless a written agreement, proposal or order confirmation states otherwise.
If a separate agreement conflicts with these terms, the separate agreement prevails.
2. Services
COMS may include chatbot, lead capture, booking paths, Performance service, portal, documentation, integrations and customer-specific interfaces.
The exact scope, usage limits and delivery schedule are defined by the order or onboarding.
3. Customer responsibilities
The customer is responsible for lawful and up-to-date content, websites, privacy notices, users, permissions and integration credentials.
- Do not enter sensitive or confidential data without a separate agreement.
- Keep user accounts and integration keys secure.
- Ensure visitors receive appropriate notices about widgets, cookies and analytics.
4. COMS responsibilities
COMS aims to provide the service professionally, securely and according to the agreed onboarding.
COMS may change the service to improve security, performance, maintainability or overall product quality.
5. AI limitations
AI-generated answers may be incomplete, incorrect or unsuitable for a specific situation. Critical content, prices, availability and instructions should be reviewed by the customer.
COMS should not be used as the sole basis for legal, medical, financial or other high-risk decisions.
6. Fees and usage limits
Prices, setup fees, term, conversation limits, overage fees and other commercial terms are defined by the proposal, order or pricing page.
Unless otherwise agreed, fees exclude VAT and are invoiced according to the agreed billing cycle.
7. Integrations and third parties
The customer may connect email, CRM, analytics, calendar, WhatsApp, Telegram or webhook integrations.
Third-party services are subject to their own terms. COMS is not responsible for their outages or changes.
8. Intellectual property
Customer materials, brand, content and customer data remain owned by the customer or its rights holders.
The COMS platform, software, interfaces, documentation and technical solutions are owned by COMS or its licensors.
9. Privacy
Personal data processing is governed by the privacy notice, any data processing agreement and the onboarding settings agreed with the customer.
10. Limitation of liability
The service is provided professionally, but COMS does not guarantee uninterrupted or error-free operation. Liability for indirect damage, lost revenue or third-party services is limited to the extent permitted by law.
11. Termination
When the agreement ends, customer access may end and materials are deleted or returned according to the agreed offboarding process.
12. Governing law
These terms are governed by Finnish law. Disputes are primarily resolved through negotiation.
